Terms of Service

1. Introduction​

Welcome to the website of Realize (“Company,” “we,” “us,” or “our”), the hedge fund established in the Abu Dhabi Global Market ("ADGM"). By accessing or using our website www.realizeassets.com (the “Site”) and any services provided through it (collectively, the “Services”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, please do not use our Site or Services.

2. Changes to Terms​

We may update these Terms from time to time. Any changes will be posted on this page with an updated timestamp (see Last Updated). We encourage you to review these Terms. Your continued use of the Site after such changes constitutes your acceptance of the new Terms.

3. Eligibility​

  1. By using our Site and Services, you represent and warrant that you have the legal capacity to enter into these Terms, and are not prohibited by any laws or regulations from using our Site and Services.

  2. Use of the Site for the purpose of investing into Realize funds is restricted in line with the relevant Offering Memorandum of each relevant fund:

    1. Neither RBILL tokens, nor the Realize T-BILLS Fund, have been registered under the Securities Act of 1933, as amended, or the securities laws of any other jurisdiction within the United States.
    2. RBILL tokens are not for sale, and will not be offered or sold both in the United States or to U.S. persons.
    3. RBILL tokens are not eligible for transfer to, or from, the United States.
    4. RBILL tokens are not eligible for transfer to, or from, U.S. Persons.

  3. You are strictly prohibited from accessing or using our platform or services if you are located in, under the control of, a national or resident of, or otherwise attempting to access our services from a country or region that is subject to comprehensive sanctions or embargoes enforced by the United States Office of Foreign Assets Control (OFAC), the United Kingdom, the European Union or the United Nations.

    1. This includes, but is not limited to, countries currently on the OFAC sanctions list, such as Cuba, Iran, North Korea, Syria, and the Crimea region of Ukraine.
    2. You represent and warrant that you are not listed on any sanctions list or equivalent maintained by the United States government, the United Kingdom government, the European Union, or the United Nations (collectively, "Restricted Person"). Additionally, you confirm that you do not intend to engage in transactions with any Restricted Person.
    3. You represent and warrant that you do not, and will not, use VPN software or any other privacy or anonymization tools or techniques to circumvent, or attempt to circumvent, any restrictions that apply to the Services.

4. Use of the Site and Services​

  1. Purpose Our Site and Services are designed to provide information about Realize and our hedge fund’s activities related to the tokenization of Real-World Assets ("RWA"). Our Services may include, but are not limited to, information on investment opportunities and RWA tokenization, access and use of the Realize dApp, and information about the wider Realize and partner ecosystems.
  2. Account Creation Certain features of our Site and Services may require you to create an account. You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.
  3. Fees Please refer to the Offering Memorandum for each relevant Fund for any and all applicable fees relating to each Fund.
  4. Prohibited Activities You agree not to:
    • Use the Site or Services for any unlawful or fraudulent purpose;
    • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with any person or entity;
    • Interfere with or disrupt the Site or Services or servers or networks connected to the Site or Services;
    • Engage in any activity that could damage, disable, or impair the Site or Services.
    • Manipulate the asset prices, trading volumes, or market data;
    • Create fraudulent accounts or providing false information; or
    • Use the Site or Services for any purpose that could damage or compromise the integrity of the Site or Services.

5. Intellectual Property​

All content on the Site, including text, graphics, logos, images, and software, is the property of Realize or its licensors and is protected by intellectual property laws and regulations. You may not use, reproduce, distribute, or create derivative works from any content on the Site without our express written approval. Any unauthorized use may result in legal action.

6. Data Protection and Privacy​

We are committed to protect the privacy and security of our users' information. The collection, use, and sharing of personal information are described in our Privacy Notice. By using the Site and Services, you consent to the data practices described in our Privacy Notice.

7. Compliance with the Applicable Laws and Regulations​

You must ensure full compliance with all applicable laws and regulations in the ADGM and any other relevant jurisdictions, including but not limited to regulations related to anti-money laundering, counter-terrorist financing, and data protection.

8. Limitation of Liability​

To the fullest extent permitted by law, Realize will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of or inability to use the Site or Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Site; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Site by any third party; or (v) any errors or inaccuracies in the information provided on the Site.

9. Indemnification​

You agree to indemnify, defend, and hold harmless Realize, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or related to (i) your use of the Site or Services; (ii) your violation of these Terms; (iii) your violation of any rights of another party; or (iv) Any actions taken by Realize in response to your breach of these Term.

10. Governing Law​

These Terms are governed by and construed in accordance with the laws of the ADGM. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the ADGM courts.
